Welcome to VrewKriya(“we,” “us,” or “our”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and VrewKriya, governing your access to and use of our website www.vrewkriya.com (the “Site”), our brand services, client portals, audit support, and all related communications and deliverables.

By accessing our Site, engaging our services, creating an account, or otherwise interacting with VrewKriya, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use our Site or services.

1. Definitions

• “Services” refers to all services provided by VrewKriya, including but not limited to brand strategy, creative direction, brand identity design, jewellery photography and videography, social media management, performance marketing, SEO, Google Business Profile management, audit support, and consultation calls.
• “Deliverables” refers to all work product, materials, designs, reports, strategies, content, and assets produced by VrewKriya as part of the Services.
• “Audit” refers to our brand audit, marketing audit, social media audit, or any other review and analysis service offered by VrewKriya.
• “Support Calls” refers to scheduled or on-demand phone, video, or virtual meetings with our team for consultation, progress reviews, audit discussions, or service-related support.
• “Content” refers to any text, images, videos, graphics, data, or other materials on our Site or provided through our Services.

2. Services Provided

VrewKriya is a full-service jewellery marketing agency based in Bengaluru, India. We provide comprehensive branding, creative production, and digital marketing services designed specifically for the jewellery industry. Our services include, but are not limited to:

• Brand Strategy, Positioning, and Identity Design
• Jewellery Photography and Videography
• Social Media Management and Content Creation
• Performance Marketing (Google Ads, Meta Ads)
• Search Engine Optimization (SEO)
• Google Business Profile Setup and Management
• Brand Audit and Marketing Audit Services
• Dedicated Support Calls and Ongoing Client Consultation
• Campaign Strategy and Execution
• Store Launch Marketing and Event Campaigns

The specific scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work (SOW), proposal, or service agreement provided to the client before work begins.

3. Acceptable Use Policy

By using our Site and Services, you agree that you will not:

• Use our services for any unlawful, fraudulent, or deceptive activities, including but not limited to spam, phishing, copyright infringement, trademark infringement, or the distribution of malware.
• Send unsolicited communications, bulk emails, or spam using any email infrastructure provided or managed by VrewKriya.
• Attempt to gain unauthorized access to our systems, accounts, servers, or networks.
• Interfere with or disrupt the integrity or performance of our Site or Services.
• Use our Services in any manner that violates applicable local, state, national, or international laws, regulations, or third-party platform policies (including but not limited to Google, Meta, and Amazon policies).
• Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of our Site, Services, or Deliverables without our express written permission.
• Misrepresent your identity, affiliation, or authority when engaging with us.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to our Services, without refund.

4. Email Communications

By submitting your information through our website, contact forms, or during the onboarding process, you authorize VrewKriya to send you:

• Service-related emails: Project updates, audit reports, account notifications, invoices, scheduling confirmations, and other communications necessary to provide the requested services.
• Marketing emails: Newsletters, promotional offers, industry insights, and case studies — only if you have explicitly opted in to receive them.

Every marketing email contains a clear, functional unsubscribe option. You may opt out of marketing communications at any time by clicking the “Unsubscribe” link in any marketing email or visiting our Unsubscribe page.

Transactional emails related to active services (such as audit reports, invoices, and project updates) may continue to be sent even after you opt out of marketing communications, as they are necessary for the performance of our contractual obligations.

We send emails only to users who have voluntarily submitted their information through our website or explicitly consented to receive communications from us. We never use purchased, rented, leased, or scraped mailing lists.

5. Client Responsibilities

To ensure the best possible outcome from our collaboration, you agree to:

• Provide accurate, complete, and timely information, materials, and access credentials required for service delivery.
• Participate in scheduled audit and support calls, respond to communications in a timely manner, and collaborate on project milestones.
• Ensure that any materials, content, brand assets, or intellectual property provided to VrewKriya do not infringe upon the rights of any third party.
• Review and provide feedback on deliverables within the agreed-upon timelines.
• Comply with all applicable laws and regulations related to your use of our services and the resulting deliverables.

Delays caused by the client's failure to provide necessary materials, feedback, or approvals may result in adjusted timelines and are not the responsibility of VrewKriya.

6. User Accounts

If you create an account on our platform or client portal:

• You are responsible for maintaining the confidentiality of your account credentials (username and password).
• You are responsible for all activities that occur under your account.
• You must immediately notify us at support@vrewkriya.com if you suspect any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

7. Payments and Billing

• All fees for services are outlined in the specific Statement of Work (SOW), proposal, or invoice provided to the client before work begins.
• Payment terms are as specified in your agreement. Unless otherwise stated, payments are due within 7 days of invoice date.
• We accept payments through secure, PCI DSS-compliant payment processors. VrewKriya does not store your credit card or bank account details.
• Failure to submit payments on time may result in suspension of services, including audit support and support calls, until the account is brought current.
• All prices are quoted in Indian Rupees (INR) unless otherwise specified. Applicable taxes (GST) will be charged in addition to the quoted price.
• Late payments may incur an interest charge of 1.5% per month on the outstanding amount.

8. Refund and Cancellation Policy

• Audit Services: Once an audit has been initiated (i.e., data collection has begun), audit fees are non-refundable as significant resources are allocated immediately.
• Retainer and Ongoing Services:Either party may terminate ongoing services with 30 days' written notice. Fees for services already rendered up to the date of termination are non-refundable.
• Project-Based Services: Refunds for project-based services are handled on a case-by-case basis, depending on the stage of work completed. Deposits and advance payments for work already completed are non-refundable.
• Cancellation by Client: If you cancel a project after work has commenced, you will be invoiced for all work completed up to the date of cancellation, plus any third-party costs incurred on your behalf.
• Refund requests should be directed to support@vrewkriya.com and will be reviewed within 15 business days.

9. Intellectual Property

• All materials, concepts, designs, strategies, templates, methodologies, and proprietary processes developed by VrewKriya remain the intellectual property of VrewKriya until full and final payment is received for the applicable project or engagement.
• Upon receipt of full payment, the specific deliverables outlined in your Statement of Work become your property, subject to any licensing restrictions on third-party assets (fonts, stock images, etc.).
• VrewKriya retains the right to use completed work for portfolio, case study, and promotional purposes, unless a separate Non-Disclosure Agreement (NDA) is in place.
• All content on our Site — including text, graphics, logos, icons, images, audio clips, and software — is the property of VrewKriya or its content suppliers and is protected by Indian and international copyright, trademark, and intellectual property laws.
• You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from our Site without our express written permission.

10. Audit Support and Team Engagement

We stand by the quality of our work and are committed to providing thorough, transparent, and actionable audit support. When you engage our team for support calls or audits:

• Our team will provide transparent communication, professional conduct, and structured problem-solving methodologies tailored to your brand's needs.
• Support calls are scheduled based on your service tier and availability. Emergency support is available for active retainer clients.
• All audit findings and recommendations are confidential and shared only with authorized members of your organization.

Audit Disclaimer

Audit reports and recommendations are based on the information available at the time of analysis and are provided for informational and advisory purposes only. VrewKriya does not guarantee specific business, SEO, marketing, advertising, or financial results. Outcomes may vary based on market conditions, competition, budget, timing, and factors outside of our control. Audit reports should not be construed as legal, financial, or accounting advice.

11. Third-Party Services and Platforms

In the course of delivering our services, we may utilize third-party platforms and services, including but not limited to:

• Amazon Web Services (AWS) — Cloud hosting and infrastructure
• Amazon SES — Email delivery services
• Google (Analytics, Ads, Search Console, reCAPTCHA) — Analytics, advertising, and security
• Meta Platforms (Facebook, Instagram, Ads Manager) — Social media and advertising
• Razorpay / Stripe — Payment processing
• Cloudflare — CDN and security services
• Vercel — Website hosting and deployment
• Sanity — Content management

Your use of these third-party services may be subject to their respective terms of service and privacy policies. VrewKriya is not responsible for the terms, policies, or practices of any third-party platform. We encourage you to review the terms and privacy policies of any third-party services you interact with through our platform.

12. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the engagement, including but not limited to business strategies, financial data, client lists, marketing plans, audit findings, creative concepts, and any information designated as confidential. This obligation survives the termination of these Terms and any associated service agreements, remaining in effect for a period of two (2) years after the conclusion of the engagement, unless a separate NDA specifies otherwise.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• VrewKriya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, arising from or related to your use of or inability to use our Services.
• Our total aggregate liability for any claims arising from or related to our Services shall not exceed the total fees paid by you to VrewKriya during the twelve (12) months preceding the claim.
• VrewKriya is not liable for any damages arising from: (a) your failure to provide accurate information; (b) third-party platform changes, outages, or policy updates; (c) actions taken by Google, Meta, Amazon, or other platforms regarding your accounts; or (d) market conditions or competitive factors beyond our control.

14. Indemnification

You agree to indemnify, defend, and hold harmless VrewKriya, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our Services; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) any materials or content you provide to us that infringe on the intellectual property or other rights of any third party; or (e) any misuse of our Services or deliverables.

15. Termination

• We reserve the right to suspend or terminate your access to our Site and Services, with or without notice, if you violate these Terms, abuse our services, engage in fraudulent activity, or attempt to misuse our platform.
• Either party may terminate an ongoing service engagement by providing 30 days' written notice to the other party.
• Upon termination, all outstanding invoices become immediately due and payable. You must cease using any deliverables for which payment has not been received in full.
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, confidentiality, limitation of liability, indemnification, and governing law.

16. Force Majeure

VrewKriya shall not be liable for any failure or delay in performing its obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of God, fire, flood, earthquake, internet or telecommunications outages, power failures, government actions, sanctions, civil unrest, acts of terrorism, third-party service provider interruptions (including but not limited to AWS, Google, Meta, and payment gateway outages), or any other event beyond our reasonable control. In the event of a Force Majeure, affected timelines will be adjusted accordingly.

17. Disclaimer of Warranties

Our Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Site will be uninterrupted, error-free, virus-free, or that defects will be corrected. We make no guarantees regarding specific business, marketing, advertising, or financial outcomes from our Services.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India. Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation and, if necessary, mediation.

19. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

20. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Statement of Work or service agreement, constitute the entire agreement between you and VrewKriya with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written, regarding the subject matter.

21. Changes to These Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and, where appropriate, provide additional notice (such as adding a statement to our Site or sending you an email notification). Your continued access to or use of our Site and Services after any revisions become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using our Site and Services.

22. Anti-Spam Compliance

VrewKriya is committed to full compliance with anti-spam laws and regulations, including the CAN-SPAM Act (US), GDPR (EU), India DPDP Act 2023, and the policies of email service providers including Amazon SES. We affirm the following:

• We only send emails to individuals who have voluntarily submitted their information through our website or explicitly consented to receive communications.
• We never send unsolicited commercial emails (spam).
• We never use purchased, rented, leased, scraped, or harvested mailing lists.
• All marketing emails include a valid physical mailing address and a functional unsubscribe mechanism.
• Unsubscribe requests are honored promptly, typically within 24 hours.
• We maintain a suppression list to ensure unsubscribed users are not contacted again.
